9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UDSPL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OUR SERVICES.

Our total liability to you for any claim arising out of or relating to these terms or our services shall not exceed the amount paid by you to us for the services in the twelve months preceding the claim.

These Terms of Service shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in Kolkata, West Bengal, India.

Before initiating any legal proceedings, parties agree to attempt to resolve disputes through good faith negotiations. If negotiations fail, disputes may be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996.
